AN ORDINANCE relating to the City Light Department; authorizing the execution of the Maintenance Obligations and Ownership Agreement for Boundary Substation with the Bonneville Power Administration; and ratifying and confirming certain prior acts.

WHEREAS, the original 1966 Operations and Maintenance Agreement for Boundary Substation, which provided for the City Light Department ("City Light") to compensate the Bonneville Power Administration ("BPA") for the use and maintenance of certain equipment at Boundary Substation, is deemed to be insufficient to ensure compliance with current electric reliability standards; and
WHEREAS, Through negotiations between the U.S. Department of Energy, acting by and through BPA, and City Light, it was determined that it was necessary to document more precisely the facilities for which BPA was performing maintenance on behalf of City Light, which is required for reliability standards compliance reporting; and
WHEREAS, to address this concern, City Light and BPA have gathered and improved the detailed documentation pertaining to Boundary Substation, including updated and verified equipment listings; and
WHEREAS, representatives of City Light and BPA have negotiated a Maintenance Obligations and Ownership Agreement for Boundary Substation with modernized contract terms and conditions consistent with best practices, which the parties desire to execute to replace the 1966 Operations and Maintenance Agreement; NOW, THEREFORE,
BE IT ORDAINED BY THE CITY OF SEATTLE AS FOLLOWS:
Section 1. The General Manager and Chief Executive Officer of City Light, or his designee, is hereby authorized to execute for and on behalf of The City of Seattle (the "City") the Maintenance Obligations and Ownership Agreement for Boundary Substation, substantially in the form attached hereto as Attachment 1.
